ABOUT ZYKZ

ZYKZ is a trading name of Jigzo, a regulated financial services provider. All regulated services offered under the ZYKZ brand are provided by Jigzo. References to ZYKZ throughout these terms refer to Jigzo operating under the ZYKZ trading name.

PURPOSE

These Terms of Service establish a binding legal agreement between you (the "Customer") and ZYKZ. They define the rights, responsibilities, and rules that govern your access to and use of our onramp and offramp services. By completing registration or using our services, you agree to be bound by these terms, which are designed to ensure a secure and compliant environment for all customers.

SCOPE

These terms apply to all services offered by ZYKZ, including onramp (fiat to crypto) and offramp (crypto to fiat) transactions, dedicated account details, and automated settlement. They apply to all corporate customers who have completed the ZYKZ registration process. This document, in conjunction with our other policies, forms the complete framework governing your relationship with ZYKZ.

DEFINITIONS

For the purposes of these Terms of Service:

  • Customer refers to a corporate entity authorised to use ZYKZ's services.
  • Services refers to the onramp and offramp financial services provided by ZYKZ, including automated settlement and dedicated account details.
  • Digital Assets refers to cryptocurrencies and stablecoins supported by ZYKZ, including Bitcoin (BTC), Ethereum (ETH), Tether (USDT), and USD Coin (USDC).
  • Flow refers to a configured settlement route consisting of a direction (onramp or offramp), a currency (GBP or EUR), and a designated digital asset and wallet address or bank account.
  • Account Details refers to the dedicated named corporate account number and sort code (GBP) and IBAN (EUR) issued to a Customer for the purpose of receiving fiat funds.

SCOPE OF SERVICES

ZYKZ provides the following services to corporate Customers:

  • Onramp (Fiat to Crypto): Customers send GBP or EUR to their dedicated ZYKZ account details. Upon receipt, the system automatically converts the funds and settles the equivalent digital asset to the Customer's pre-configured wallet address.
  • Offramp (Crypto to Fiat): Customers send digital assets to their unique ZYKZ deposit address. The system automatically converts the assets and settles the equivalent fiat value to the Customer's designated bank account via local payment rails.
  • Dedicated Account Details: All Customers receive a named corporate account number and sort code (GBP) and an IBAN (EUR) for the purpose of receiving fiat funds.

ZYKZ does not provide custody of digital assets, investment advice, or services to individual customers. ZYKZ does not support nested relationships or transactions on behalf of third-party clients.

RATE VALIDITY

Transaction rates are applied at the time of execution based on prevailing market rates. Rates quoted prior to execution are indicative only. The rate applied at the point of settlement is the binding rate for that transaction.

ELIGIBILITY AND CUSTOMER RESPONSIBILITIES

To use ZYKZ's services, you must meet the following requirements.

You must be a legally registered corporate entity in an accepted jurisdiction. You must complete our corporate onboarding process, providing all information required to comply with Know Your Business (KYB) and Anti-Money Laundering (AML) regulations. You must provide accurate and up-to-date information at all times. You must use ZYKZ's services in compliance with all applicable laws and regulations. You must maintain the security of your account credentials and ensure they are kept confidential.

Regulated businesses must be incorporated in one of the following accepted jurisdictions:

  • United Kingdom (including Gibraltar)
  • European Economic Area (EEA)
  • United States of America
  • Switzerland
  • Canada
  • Australia
  • New Zealand
  • Hong Kong
  • Singapore
  • Japan
  • South Korea

Regulated entities outside these jurisdictions may only be onboarded if part of an ownership structure that includes a licensed entity from an accepted jurisdiction.

PLAN FEES AND RATES

Plan fees and transaction rates vary by plan. A full schedule of applicable fees is available on the ZYKZ pricing page at zykz.com. Plan fees are billed quarterly or annually and may be paid by card or bank transfer. Annual billing is charged upfront for the full year. Transaction rates are applied to the gross transaction value at the time of execution. ZYKZ reserves the right to update fees with a 90-day notice period provided by email.

PROHIBITED ACTIVITIES

Customers must comply with ZYKZ's Prohibited Activities policy. Using ZYKZ's services for illegal purposes, attempting to bypass or manipulate AML or CTF controls, or engaging in any activity or industry listed in the Prohibited Activities policy is strictly prohibited. ZYKZ reserves the right to investigate and terminate accounts engaging in activities deemed harmful, non-compliant, or otherwise contrary to the terms of service. Violations may result in account suspension, termination, and reporting to relevant authorities.

RISK DISCLOSURE

Using ZYKZ's services involves financial risks, particularly in relation to digital assets. By using our services, you acknowledge the potential for financial loss due to market volatility, the irreversible nature of blockchain transactions, the inherent risks of operational delays or technology failures, and the complexity of digital asset markets. COMPLIANCE WITH LAWS

Customers agree to comply with all applicable laws and regulations, including AML and CTF requirements. ZYKZ reserves the right to request additional compliance documentation at any time. ZYKZ also reserves the right to suspend or terminate accounts that violate these obligations.

SAFETY AND SECURITY OF FUNDS

ZYKZ does not hold or custody digital assets on behalf of Customers. All digital assets are settled directly to the Customer's designated wallet address. Fiat funds received are processed and settled promptly in accordance with the Customer's configured flow. Customers are responsible for the accuracy of all wallet addresses and bank account details provided.

DATA PROTECTION AND PRIVACY

ZYKZ processes personal and business data in accordance with its Privacy Policy and applicable data protection legislation, including the UK GDPR. For full details, refer to ZYKZ's Privacy Policy.

INTELLECTUAL PROPERTY

All content, trademarks, and intellectual property associated with ZYKZ remain the exclusive property of ZYKZ and Jigzo. Customers are granted a limited, non-transferable licence to use ZYKZ's services for the purposes outlined in these terms.

SERVICE AVAILABILITY

ZYKZ aims to maintain continuous service availability but does not guarantee uninterrupted operation. Scheduled maintenance or unforeseen technical issues may result in temporary unavailability. ZYKZ will endeavour to provide advance notice of planned downtime where possible.

LIABILITY AND DISCLAIMER

ZYKZ's liability is limited to the extent permitted by applicable law. ZYKZ is not liable for losses arising from market volatility, incorrect wallet addresses or bank details provided by the Customer, delays caused by third-party payment networks, or events outside ZYKZ's reasonable control.

TERMINATION OF SERVICES

ZYKZ reserves the right to suspend or terminate a Customer's account at any time, with or without notice, in the event of a breach of these terms, non-compliance with applicable laws, or activity deemed to pose a risk to ZYKZ's services or its customers. Customers may request account closure at any time by contacting support@zykz.com.

AMENDMENTS TO TERMS

ZYKZ may update these Terms of Service from time to time. Customers will be notified of material changes by email. Continued use of ZYKZ's services following notification constitutes acceptance of the updated terms.

DISPUTE RESOLUTION

Any disputes arising from these terms or the use of ZYKZ's services shall be governed by the laws of England and Wales. Customers are encouraged to contact support@zykz.com in the first instance to seek resolution.
